Terms & Conditions

These terms apply exclusively to business customers (B2B) and govern all orders, quotations, invoices and agreements between First Steps Holland BV and the customer.

For business customers only

This webshop and these terms are intended exclusively for business customers (B2B). By placing an order you confirm that you are acting in the course of a profession or business.

Article 1. General

These general terms and conditions apply exclusively to business customers (B2B) and govern all agreements, orders and invoices between First Steps Holland BV and the customer. First Steps Holland BV reserves the right to amend these terms at any time. The most recent version is always available on this page. By placing an order or accepting an invoice, the customer accepts these terms without reservation. Any purchasing or other terms of the customer are expressly rejected.

Article 2. Prices and offers

All prices are in euros and exclusive of VAT.
Shipping costs are not included and are shown at checkout.
For deliveries outside the Netherlands, shipping costs are always charged to the customer, unless stated otherwise at checkout.
First Steps Holland BV may change prices and conditions before the sale is concluded.
Offers are valid while stocks last and only for the stated period.
Promotional discounts apply only if payment is received within 5 business days after the promotion ends.
Coupon codes must be entered before checkout; no retroactive discounts.
First Steps Holland BV is not liable for printing, typing or programming errors. Incorrect prices are not binding.
All product information is given as accurately as possible; minor changes do not entitle the customer to compensation or cancellation.

Article 3. Payment

Payment is in principle required in advance at the time of ordering, via one of the methods shown at checkout.
The order is shipped only after full payment has been received. If payment is not received within 5 business days, the order will be cancelled.
Payment on account (invoice with a payment term) is only possible in exceptional cases and only after explicit written agreement (including by email).
Where payment on account has been agreed, the invoice amount must be paid within 30 days of the delivery date, unless a different term has been agreed in writing.
Upon expiry of the payment term, the customer is automatically in default without any reminder being required.
From the due date, the customer owes statutory commercial interest pursuant to the European Late Payment Directive, plus extrajudicial collection costs under the Dutch Collection Costs Act (minimum €40.00 plus the statutory percentages).

Article 4. Delivery and risk

Delivery takes place at the address provided by the customer.
Deliveries outside the Netherlands take place under Incoterms 2020 DAP (Delivered At Place) at the stated delivery address.
Risk passes to the customer as soon as the goods are placed at the customer's disposal at the agreed destination.
Delivery times are indicative (usually within 2 business days after payment). The maximum delivery period is 30 days. If this period is exceeded, the customer may cancel the order and receive a full refund, provided this has been agreed in writing.
First Steps Holland BV is not liable for damage caused by an incorrect address provided by the customer or by the carrier.

Article 5. Placing on the market and producer responsibility

Where the customer is the first to place the products on the market in its own country, the customer is deemed to be the party first making the products and their packaging available on that national market.

In that case, the customer is responsible for all resulting obligations under the applicable EU and national legislation on packaging and producer responsibility, including the EU Packaging and Packaging Waste Regulation (PPWR), Extended Producer Responsibility (EPR) and, where applicable, schemes for waste electrical and electronic equipment (WEEE) and batteries. This includes registration with the relevant national registers and producer responsibility organisations, declaration and payment of the fees due, and keeping the required records.

For that national market, First Steps Holland BV is not the responsible producer or importer. On request, First Steps Holland BV will provide the necessary product and packaging data (such as material types and weights) so that the customer can meet its obligations.

The customer indemnifies First Steps Holland BV against all claims, fines and costs arising from any failure to comply with these obligations in the customer's country.

Article 6. Sales channels

The customer may sell the products through its own webshop and its own physical store. Selling through external online marketplaces is not permitted. This includes at least Amazon, bol, eBay, Kaufland and similar platforms. This provision applies to all customers and concerns the sales channel only, not the selling price. The customer sets the selling price itself.

Article 7. Refusal of orders

A sales agreement is only concluded after acceptance by First Steps Holland BV. We reserve the right to refuse orders or attach conditions without giving reasons.

Article 8. Retention of title

First Steps Holland BV remains the owner of all delivered goods until full payment has been received. Risk passes at the moment described in Article 4 (Delivery and risk).

Article 9. Returns

Returns are only possible with the prior written approval of First Steps Holland BV.
No statutory cooling-off period applies, as these terms apply exclusively to business customers.
Approved returns must be returned unused, undamaged and in the original packaging. Return costs are for the customer's account, unless agreed otherwise in writing.

Article 10. Complaints

Complaints must be reported within 7 days of receipt by email to [email protected]. We will resolve the issue as quickly as possible. Return postage is initially at the customer's expense and will be reimbursed if the complaint is upheld. Complaints are handled within 30 days.

Article 11. Guarantee and liability

For business customers, a warranty of 6 months applies, unless otherwise agreed in writing.
First Steps Holland BV is not liable for damage caused by improper use, self-repair or failure to follow instructions.
Liability is limited to the invoice amount of the product concerned.

Article 12. Privacy

We process personal data in accordance with the applicable privacy legislation. See our separate Privacy Policy at www.first-steps.com/privacy-policy for details. The customer may request deletion of its data by emailing [email protected].

Article 13. Miscellaneous

If the customer provides us with a written address, we are entitled to send all orders to that address unless the customer notifies us otherwise in writing. If First Steps Holland BV does not enforce any provision for a period of time, this does not affect our right to demand strict compliance later. If any provision of these terms is invalid or unenforceable, it shall be replaced by a valid provision that comes as close as possible to the original intent. The remaining provisions remain fully in force.

Article 14. Applicable law and jurisdiction

All agreements are governed exclusively by Dutch law. Any disputes shall be settled exclusively by the competent court in Amsterdam, the Netherlands.
